VRG S.A. with its registered office in Krakow ("the Company") hereby informs that on 27 May 2021 a shareholder of the Company - FORUM XXIII Fundusz Inwestycyjny Zamknięty with its registered office in Kraków, in relation to the point of the agenda of the Ordinary General Meeting of the Company convened on 28 June 2021 regarding election of the Supervisory Board for the new term, proposed Mr Jan Pilch as a candidate to the Supervisory Board of the Company.
According to the submitted representation, Mr. Jan Pilch is a person not convicted for crimes under Art. 18 par. As declared by Mr Jan Pilch, he does not run any competitive activities to the Company, does not participate in any company competitive in respect of the Company as a partner in a civil law partnership, a partnership or as a member of an authority of a joint stock company, does not participate in any other legal person competitive in respect of the Company as a member of its authority, is not entered in the register of insolvent debtors and there are no known obstacles for him to become a candidate of the Supervisory Board of the Company.
In addition, according to his statement, Mr. Jan Pilch meets the criteria for independence pursuant to Article 129.3 of the Act on Auditors, Audit Firms and Public Supervision.
