Subject: Consent of the President of the Office of Competition and Consumer Protection regarding the acquisition project of the Issuer's subsidiary; fulfillment of the condition precedent in the preliminary conditional sales agreement concluded by the Issuer's subsidiary
The Management Board of VRG S.A. with its registered office in Kraków (hereinafter referred to as the "Issuer") hereby announces that the Issuer's subsidiary, W.KRUK S.A., received on August 13, 2025, the decision of the President of the Office of Competition and Consumer Protection dated August 8, 2025, approving a concentration involving W. Kruk S.A.'s acquisition of control over Lilou sp. z o.o. with its registered office in Warsaw, Bellver MYVOG Fundacja Rodzinna sp.k. with its registered office in Warsaw, Lilou Online Shop sp. z o.o. sp.k. with its registered office in Warsaw, Lilou Retail sp. z o.o. sp.k. with its registered office in Warsaw, and Logistics Retail sp. z o.o. sp.k. with its registered office in Warsaw.
Under this decision, the President of the Office of Competition and Consumer Protection approved the concentration.
Obtaining the decision constitutes the fulfillment of the condition precedent to the conclusion of the final agreement on the basis of the preliminary conditional sales agreement, about which the Issuer informed in Current Report No. 18/2025 of 8 July 2025.
