Subject: Completion of the share buyback program – summary
The Management Board of VRG S.A., with its registered office in Kraków (the “Company”), with reference to the Company’s current reports No. 19/2026 dated August 17, 2026, No. 20/2026 dated August 17, 2026, and No. 21/2026 dated August 27, 2026, concerning the repurchase of the Company’s own shares pursuant to Resolution No. 24/06/2026 of the Company’s Ordinary General Meeting dated June 25, 2026, regarding the authorization of the Management Board to acquire the Company’s own shares and the creation of a reserve capital for the purpose of acquiring the Company’s own shares (“AGM Resolution”), as well as the Invitation to Submit Offers to Sell the Company’s Shares (“Invitation”) published pursuant to a resolution of the Company’s Management Board dated August 17, 2026, hereby announces that the number of treasury shares purchased by the Company pursuant to the Invitation is: 8,440,410 shares, representing 3.6% of the Company’s share capital and 3.6% of the total number of votes at the Company’s General Meeting. The shares were purchased at a price of 5.50 zlotys per share. The total price for the shares purchased is 46,422,255.00 zlotys. Settlement of the transaction for the purchase of 8,440,410 treasury shares took place on August 31, 2026.
The foregoing exhausts the Management Board’s authorization to repurchase treasury shares pursuant to the resolution of the General Meeting of Shareholders.
At the same time, the Company hereby announces that as of the date of this report, it holds 8,440,410 treasury shares, representing 3.6% of the Company’s share capital and 3.6% of the total number of votes at the Company’s General Meeting of Shareholders. Pursuant to Article 364(2) of the Commercial Companies Code, subject to exceptions prescribed by law, the Company does not exercise shareholder rights attached to its own shares.
Specific legal basis: Article 5(1)(a) of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of April 16, 2014, on market abuse (MAR), in conjunction with Article 2(1) of Commission Delegated Regulation (EU) 2016/1052 of March 8, 2016, supplementing the MAR Regulation with regard to buyback programs and stabilization measures.
