Subject: Amendment to the loan agreement entered into by the Company
The Management Board of VRG S.A., with its registered office in Kraków (hereinafter: “the Company”), announces that on June 29, 2026, documentation was executed regarding an amendment to the loan agreement concluded between mBank S.A., with its registered office in Warsaw (hereinafter: “the Bank”) and the Company on April 23, 2019, as amended (“the Framework Agreement”), which the Company disclosed in Current Report No. 29/2024.
The amendment to the Framework Agreement extends its term until July 28, 2028, while maintaining the multi-product credit line limit at PLN 57,000,000.00, under which and up to that amount the Company may utilize the following products:
a) an overdraft facility up to PLN 57,000,000,
b) bank guarantees up to PLN 57,000,000,
c) documentary letters of credit up to PLN 57,000,000.
The Bank’s claims under the above agreement are secured by:
1) declarations of submission to enforcement pursuant to Article 777 of the Code of Civil Procedure,
2) an agreement between the Bank and the Company governing the settlement of payment transactions made by the Company’s counterparties using bank cards.
