Legal basis: Article 56, paragraph 1, point 2 of the Act on Public Offering – Current and Periodic Information
Subject: Resolutions adopted at the Ordinary General Meeting of VRG S.A. on 25 June 2025, appointment of the Supervisory Board of VRG S.A. for a new term of office.
The Management Board of VRG S.A. with its registered office in Kraków (the “Company”) informs that the Ordinary General Meeting of the Company held on June 25, 2025, adopted the resolutions indicated in Annex No. 1 to the current report.
At the same time, the Management Board of the Company informs that the following persons have been appointed to the 5-member Supervisory Board of the Company for the new term of office:
1. Ms. Marta Zgodzińska – biographical note, information indicated in §10. items 4-6 of the Regulation of the Minister of Finance of 29 March 2018 regarding current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-Member State ("Regulation") and information on meeting the independence criteria for a member of supervisory boards were announced in current report no. 10/2025 of 18 June 2025. In addition, Ms. Marta Zgodzińska submitted an additional declaration to the Company that she meets the independence criteria for a member of supervisory boards specified in art. 129 sec. 3 of the Act of 11 March 2017 on statutory auditors, audit firms and public supervision.
2. Mr. Piotr Kaczmarek – biographical note, information specified in §10. points 4-6 of the Regulation and information on meeting the independence criteria for a member of supervisory boards were published in current report no. 11/2025 of 18 June 2025.
3. Mr. Piotr Łagowski – biographical note, information specified in §10. points 4-6 of the Regulation were published in current report no. 12/2025 of 23 June 2025.
4. Mr. Piotr Stępniak – biographical note, information specified in §10. points 4-6 of the Regulation and information on meeting the independence criteria for a member of supervisory boards were published in current report no. 13/2025 of 23 June 2025.
5. Ms. Aleksandra Kolańska – biographical note and information indicated in §10. points 4-6 of the Regulation were published in current report no. 14/2025 of 24 June 2025.
