Subject: Mr. Piotr Kaczmarek candidacy for the Supervisory Board of VRG S.A.

VRG S.A. with its registered office in Kraków ("the Company") hereby notifies that on 27 May 2021 a shareholder of the Company, i.e. Nationale-Nederlanden Otwarty Fundusz Emerytalny with its registered office in Warsaw represented by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A., in connection with the agenda item of the Ordinary General Meeting of Shareholders convened for 28 June 2021 regarding election of the Supervisory Board for a new term, proposed Mr Piotr Kaczmarek as an independent member of the Supervisory Board of the Company.
According to the information provided by the shareholder Nationale-Nederlanden Otwarty Fundusz Emerytalny, Mr. Piotr Kaczmarek has agreed to be a candidate and to be appointed to the Supervisory Board of the Company, he has also declared that he meets the criteria for independent members of the Supervisory Board. In the opinion of the shareholder of Nationale-Nederlanden Otwarty Fundusz Emerytalny the professional experience and professionalism of Mr. Piotr Kaczmarek allow stating that he is a candidate who can bring a lot of value to the Company, giving the guarantee of proper performance of duties of an independent member of the Supervisory Board.
According to the submitted declaration, Mr. Piotr Kaczmarek has a full capacity to perform legal acts, there are no legal reasons against him that would hinder his appointment and performing the function of a member of the Supervisory Board in the Company, especially reasons presented in art. 18 CCC and art. In addition, he represents that he is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Issuer's business, and he is not listed in the Register of Insolvent Debtors.

Moreover, according to the submitted statement, Mr. Piotr Kaczmarek meets the criteria of independence resulting from Article 129, paragraph 3 of the Act of May 11, 2017 on auditors, audit companies and public supervision, as well as from Appendix II to the Recommendation of the European Commission of February 15, 2005 on the role of non-executive or supervisory directors of listed companies and committees of the board.
